These Terms and Conditions govern the use of the services offered by Adam Solutions Ltd and define the conditions applicable to any person or company using our services.

By using our services, the client acknowledges having read and accepted these Terms and Conditions.

1. PRESENTATION OF SERVICES

Adam Solutions Ltd offers support, administrative consulting, and coordination services designed specifically for entrepreneurs, investors, companies, foreign investors, and individuals wishing to develop a business, invest, or settle in Mauritius.

Our services may notably include:

  • Assistance with the creation and incorporation of companies;
  • Assistance in the preparation of banking files; ;
  • Assistance with bank account opening procedures; ;
  • Assistance in preparing financing applications; ;
  • Connecting with banks, financial institutions, and specialized professionals; ;
  • The administrative coordination of the various stages of a project; ;
  • Connecting with accountants, legal professionals, consultants, or other professionals when necessary; ;
  • General investment advice and support, including in administrative analysis, structuring, and the preparation of an investment project; ;
  • Assistance with residency and permit procedures in Mauritius, including the preparation and coordination of the necessary files; ;
  • Supporting foreign investors in their administrative, professional, commercial, and settlement procedures in Mauritius; ;
  • Information and guidance on the various options enabling foreign investors to establish or develop their activities in Mauritius.

The services actually provided depend on the nature of the project, the client's needs, and the requirements applicable to each case.

2. NATURE OF THE SUPPORT

Adam Solutions Ltd acts primarily as a facilitator, coordinator and, where applicable, advisor within the framework of the services agreed with the client.

Except with specific written agreement and to the extent permitted by applicable law, Adam Solutions Ltd does not substitute for banks, financial institutions, public authorities, lawyers, notaries, accountants, tax advisors, investment professionals, or other regulated professionals.

The information or guidance provided by Adam Solutions Ltd as part of an investment project aims to assist the client in understanding and preparing their project. They do not necessarily constitute a personalized recommendation to acquire, sell, or hold a financial instrument or investment product when this type of service is subject to specific regulations or authorization.

When the nature of the project requires the involvement of a regulated professional or service provider, Adam Solutions Ltd can facilitate the introduction to them.

Any final decision regarding an investment, a residency application, a permit, an authorization, an incorporation, a bank account opening, or financing rests with the client or the competent authority, as the case may be.

3. NO GUARANTEE OF RESULTS

Adam Solutions Ltd is committed to providing professional support and implementing the due diligence agreed upon with the client.

However, no result can be guaranteed.

In particular, Adam Solutions Ltd does not guarantee:

  • The profitability or performance of an investment; ;
  • The acceptance or success of an investment project; ;
  • Obtaining a return on investment; ;
  • The acceptance of a residence application; ;
  • The obtaining or renewal of a permit, visa, authorization, or residency status; ;
  • The acceptance of a foreign investor's file by a competent authority or organization; ;
  • The opening of a bank account; ;
  • The granting of a loan or financing; ;
  • The approval of a project by a bank or financial institution; ;
  • The acceptance of a request by a public authority; ;
  • The creation or registration of a company within a specified timeframe when it depends on an authority or a third party.

Decisions, deadlines, and applicable conditions may depend on factors beyond the control of Adam Solutions Ltd.

4. CLIENT OBLIGATIONS

The customer undertakes to provide accurate, complete, and up-to-date information.

It must provide, in particular, when necessary:

  • A valid piece of identification; ;
  • Proof of address ;
  • Information relating to his or her professional activity; ;
  • Financial documents ;
  • Information regarding the source of funds; ;
  • Documents relating to his project; ;
  • Any other document reasonably requested in connection with the provision of the services.

The client is responsible for the accuracy and authenticity of the transmitted documents.

Any false, incomplete or misleading information may lead to the suspension or termination of the service.

5. VERIFICATIONS AND COMPLIANCE

Adam Solutions Ltd may be required to carry out checks regarding the client's identity, activity, investment project, assets, origin of funds, personal or professional situation, residency project, or any other element necessary for the provision of the service.

These verifications may notably be required as part of Know Your Customer (KYC) procedures, Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) procedures, as well as compliance procedures applicable to banks, financial institutions, authorities, or relevant professionals.

Adam Solutions Ltd reserves the right to refuse or suspend a service when a case does not allow for compliance with applicable legal, regulatory, or conformity requirements.

The client agrees to cooperate fully with the verification procedures and to provide accurate, complete, and up-to-date information and documents.

6. FEES AND EXPENSES

Adam Solutions Ltd's fees are communicated to the client before the start of the service, depending on the nature and complexity of the project.

Unless otherwise indicated, Adam Solutions Ltd's fees do not include costs charged by third parties, including:

  • Government fees ;
  • Registration fees ;
  • Bank fees ;
  • Fees of accountants, lawyers, or other professionals; ;
  • License or permit fees; ;
  • Translation, certification, or legalization fees; ;
  • Any other external expenses necessary for the completion of the project.

Payment terms are specified in the quote, invoice, or any other applicable commercial document.

7. START OF SERVICE

The service may begin after:

  1. The acceptance of the commercial terms; ;
  2. Receipt of the necessary documents; ;
  3. Payment of the agreed fees or deposit, if applicable.

Adam Solutions Ltd may suspend the processing of a case when the necessary documents or information have not been provided.

8. DEADLINES

The deadlines communicated to the client are indicative, barring any contrary written commitment.

Delays may be caused by, among other things:

  • The deadlines of the administrative authorities; ;
  • The delays of banks or financial institutions; ;
  • The client's availability; ;
  • Receipt of the necessary documents; ;
  • Compliance checks; ;
  • Any modification of the regulations; ;
  • Any event beyond the control of Adam Solutions Ltd.

A delay not attributable to Adam Solutions Ltd does not, in and of itself, constitute a breach of its obligations.

9. OPENING BANK ACCOUNTS

Adam Solutions Ltd can assist the client in preparing and submitting their banking application.

However, each bank remains free to accept or refuse an application based on its own criteria, internal policies, and compliance procedures.

Therefore, Adam Solutions Ltd cannot guarantee the opening of a bank account nor impose a decision on a banking institution.

10. FINANCING

Adam Solutions Ltd can assist the client in preparing, structuring, and presenting their financing application.

Any decision regarding the granting of financing belongs exclusively to the financial institution concerned.

Adam Solutions Ltd does not guarantee any amount, rate, timeframe, or approval of financing.

11. COMPANY FORMATION

Adam Solutions Ltd can assist clients, particularly foreign investors, with their administrative procedures relating to their establishment, professional activity, or investment project in Mauritius.

This support may include, among other things:

  • General information on the various residency and permit options; ;
  • Identification of the documents necessary for preparing a file; ;
  • The administrative coordination of the different stages; ;
  • Assistance with the preparation and compilation of documents; ;
  • Coordination with the relevant authorities or professionals, when necessary; ;
  • Connecting with specialized professionals; ;
  • Administrative support for foreign investors wishing to establish, develop, or invest in a business in Mauritius.

Adam Solutions Ltd does not guarantee the obtaining, renewal, or maintenance of any permit, visa, residence status, or authorization.

Eligibility conditions, documentary requirements, processing times, and decisions regarding residency and permit applications are determined by the competent authorities and bodies and are subject to change at any time.

12. INVESTMENT ADVICE

Adam Solutions Ltd can provide support and general information regarding investment projects in Mauritius, notably in terms of preparation, administrative structuring, project analysis, and coordination with the relevant professionals.

Except when legally authorized to provide a specific regulated service, Adam Solutions Ltd does not provide regulated financial or investment advice and does not guarantee any performance, profitability, or capital gain.

The client remains solely responsible for their investment decisions and must, when necessary, seek the advice of a duly qualified or authorized professional.

Adam Solutions Ltd shall not be held liable for any losses, drops in value, insufficient returns, or other financial consequences resulting from an investment decision made by the client.

Any information relating to an investment is provided subject to the information available at the time of delivery and does not constitute a guarantee as to the future performance of an investment.

13. PRIVACY

Adam Solutions Ltd uses reasonable efforts to provide its services with professionalism and diligence.

However, Adam Solutions Ltd cannot be held liable for decisions, refusals, delays, regulatory changes, or actions of a third party, notably a bank, a financial institution, an administration, a competent authority, or an independent professional.

In particular, Adam Solutions Ltd cannot be held liable:

  • Investment losses or negative results; ;
  • Refusal or delay in the granting of a permit, visa, or residency status; ;
  • From the refusal of a request submitted to a competent authority or body; ;
  • Decisions made by a bank or financial institution; ;
  • Consequences resulting from incorrect, incomplete, or late information provided by the client; ;
  • Of any event beyond its control.

14. DATA PROTECTION

The personal data provided by the customer is used solely for the purpose of managing their request, performing the services, and complying with applicable legal or regulatory obligations.

The customer must provide only the information necessary to process their file.

Detailed terms and conditions relating to the processing of personal data may be specified in a Privacy Policy distinct.

15. SUSPENSION OR REFUSAL OF SERVICE

Adam Solutions Ltd may suspend or terminate a service when:

  • The customer provides false or misleading information; ;
  • The required documents are not provided; ;
  • The client is not complying with the payment terms; ;
  • The project presents a legal or compliance risk; ;
  • The requested service is contrary to applicable legislation; ;
  • The continuation of the service is no longer reasonably possible.

16. MODIFICATION OF TERMS AND CONDITIONS

Adam Solutions Ltd reserves the right to modify these Terms and Conditions when necessary, notably due to the evolution of its services or applicable regulations.

The applicable version is the one communicated or published at the time of the service.

17. GOVERNING LAW

These Terms and Conditions are subject to law applicable to Mauritius, subject to applicable mandatory legal provisions.

Any dispute shall, as far as possible, be settled amicably prior to any legal proceedings.

Failing an amicable settlement, the dispute may be submitted to the competent courts of Mauritius, subject to applicable jurisdictional rules.

18. ACCEPTANCE

By using the services of Adam Solutions Ltd, the client acknowledges having read, understood, and accepted these Terms and Conditions.
